Before we enter an agreement for services, we would like to first come to a mutual understanding of the terms and mechanics of this relationship. No agreement for services will be entered into unless both parties are in mutual agreement, and it is evidenced by their signatures in this Memorandum of Understanding.

Vendor understands that in the event they are working on-site at any property managed by The Bella Group, LLC and/or its affiliates ("Bella"), they are responsible for all background checks, any subsequent findings and any and all insurance coverage for any person or employee working on behalf of their company. Vendor also understands that in the event they are a sole proprietor and are not required to carry workers' compensation coverage/insurance, Vendor understands they are not entitled to any workers' compensation benefits by Bella and holds harmless Bella and any of its affiliated entities and all properties managed by Bella from any and all costs associated with any injuries that may be sustained while performing work.

SCOPE OF WORK
Outline the work being performed here or in an attached exhibit (if applicable). No work will be performed and/or goods shipped without receipt of a purchase order and/or an agreed upon estimate.

PAYMENT
All invoices will be paid within thirty (30) days from the date of service. All annual contracts will be paid according to the terms of the contract. If payment will not be made within the agreed upon terms, a representative from Bella will be in contact with the vendor.

If invoices are not received from the vendor within ninety (90) days after the date of service, Bella reserves the right to refuse to pay these invoices. If invoices are not received in a timely manner (more than thirty (30) days after the date of service), said invoices will be paid based on the agreed upon payment terms based on the date received and not the date of service. Vendor will contact Bella's accounting department regarding outstanding invoices.

NOTE: Flooring contracts may require different payment terms.

TERMINATION
This Memorandum of Understanding supersedes all existing contracts and allows either party to terminate said agreement with 30 days' written notice.
